“Contractor”

Contractor / Website Designer - Agata Business Services
Client - The company that purchases an Individual Custom Website Design Project or any related website services, such as design, redesign, or website updates, from Agata Business Services Shop.

This Individual Custom Website Design Project Agreement, or any related website services, is entered into as of the date by and between Agata Business Services, having its principal place of business located at Lima, Upper Street, Fleet, GU51 3PE, Hampshire (the “Designer”), and the 'Client,' who purchases an invoiced Individual Custom Website Design Project via the Online Shop, both of whom agree to be bound by this Agreement. The Individual Custom Website Design Project is a project design special only for one company/ business owner and cannot be resold or used by different businesses / Companies.

Creation time typically from 14 working days up to 12 months {it depends on the scale of your website}.
All elements that Agata Business Services creates such as graphics, and text will belong to the client after the transfer of the website.
The Client is responsible for tracking the Contractor’s work hours using available tools such as WhatsApp and Wix tracking or by requesting updates. The Contractor may continue work without prior notice, and all time spent, including communication and revisions, counts towards the purchased hours. Any additional work beyond the agreed hours will be considered overtime, charged at the standard hourly rate, and invoiced at the end of the project.

This Agreement shall commence on the effective date hereof and shall remain in effect until the earlier of the
completion of all services called for hereunder to be performed by the Contractor.
You will become co-owner of the project and Website after payment in full, and completion and transfer of the site to your Wix account. Agata Business Services continues to own the website.
If you are purchasing an Individual Website Project by instalment, your project will be transferred once the last instalment is paid.
Once you purchase project cannot be terminated.

 

Loyalty Terms and Conditions

Agata Business Services as your Website Designer commits to be loyal to your brand and not to use any of your material outside your website.

Independent Contractor Status

The parties agree that the Contractor shall be an independent contractor and not an agent, employee, or representative of the Client. Client shall have no right to direct or control the details of the Contractor’s work. Contractor shall not receive any fringe benefits or other perquisites that the Client may provide to its employees and Contractor agrees to be responsible for its own business overhead and costs of doing business and to furnish (or reimburse Client for) all tools and materials necessary to accomplish the services required of the Contractor pursuant to this Agreement, and shall incur all expenses associated with performance, except as expressly provided in Exhibits or amendments to this Agreement. Contractor shall be responsible for paying all taxes on payments received pursuant to this Agreement and that Client shall have no obligation to withhold taxes from service fees payable to the Contractor hereunder. Contractor hereby indemnifies and holds the customer harmless of any obligation that may be imposed on Client to pay in withholding taxes or similar items or resulting from Contractor's being determined not to be an independent contractor.

Governance and Jurisdiction

The laws of England and Wales shall apply to this contract, for both contractor and client, and to all of the services and payments relating to this contract, for both governance and jurisdiction. In the event of a dispute, any or all points of dispute shall be communicated in English language.
By ticking this box, you also agree that you are confirming that you have purchased the correct number of pages for your website. If you subsequently require more pages, this incurs additional cost.
